Musk signals merger exploration

Elon Musk said on Tuesday that SpaceX and Tesla have formed special committees to discuss a merger at shareholder request, with independent directors involved.

“Both SpaceX and Tesla have formed special committees to discuss this idea at the request of shareholders, and these special committees consist of independent directors.”

Deal could be worth five trillion

The merger would likely be valued at close to five trillion dollars, according to Dan Ives at Yorkville Ives and Company, making it the largest deal in corporate history.

Tesla shareholders would need premium

Tesla shareholders would need premium

SpaceX is valued at one point nine eight trillion dollars and Tesla at about one point five trillion.

“For the merger to get passed by shareholders, it would have to be a higher price for Tesla, likely in the $500/$550 per share range in our view.”

AI and robotics drive strategy

Musk said the merger would let the companies cooperate on super intelligence software, chip design, robotics and mass to orbit with the Starlink constellation.

“There's a lot to be gained from cooperating on developing super intelligence software, chip design, the Terafab obviously, robotics, mass to orbit with the Starmind constellation.”

Tesla shifting to autonomous future

Tesla is phasing out Model S and Model X production to focus on self-driving robotaxis and humanoid robots. Musk said Tesla will produce one million humanoid robots yearly, with Optimus hitting market in twenty twenty-seven.

Shareholder vote remains uncertain

Musk said a merger is far from assured and requires a fifty percent vote of all Tesla shareholders, not just those voting.

“I think some people out there assume that a SpaceX and Tesla merger is a certainty, and I think that would be overstating it.”

The short version

Elon Musk said Tesla and SpaceX are exploring a merger that could be worth close to five trillion dollars, though shareholder approval remains uncertain.
