Seven founders, equal stakes

Seven people quit OpenAI to co-found Anthropic in January twenty twenty-one. Five and a half years later, each owns about two hundred forty million shares of the AI company.

Current wealth: fourteen billion each

At fifty eight dollars ninety cents a share, the price from Anthropic's most recent private funding round this spring, each founder's stake is worth between thirteen point seven billion and fourteen point four billion dollars.

IPO could double their wealth

IPO could double their wealth

If Anthropic lists at the roughly two trillion dollar valuation Wall Street estimates have pointed to, each co-founder would be worth between twenty seven billion and twenty nine billion dollars.

Who the seven are

CEO Dario Amodei, his sister Daniela Amodei the president and board chair, Tom Brown the chief compute officer, Jared Kaplan the chief science officer, Sam McCandlish the chief architect, Chris Olah who leads interpretability research…

The ownership breakdown

Tom Brown holds the most shares at two hundred forty four million, worth fourteen point four billion at current prices.Sam McCandlish holds the fewest at two hundred thirty one million, worth thirteen point seven billion.

Benjamin Mann's unclear status

Benjamin Mann has been with Anthropic since its founding and is often referred to as a co-founder, but he is not a member of the founders' LLC. His stake is not disclosed in the filing.

“is often referred to as a co-founder”

The eighty percent pledge

Each co-founder has pledged to give eighty percent of their personal Anthropic equity to philanthropic causes. The filing calls the pledges voluntary, revocable expressions of philanthropic intent and not legally binding obligations.

“voluntary, revocable expressions of each co-founder's philanthropic intent and do not constitute legally binding obligations”

Control stays with founders

A single share of Class F stock held by an LLC owned by the seven co-founders carries fifty point one percent of the company's vote and no economic rights.

The alignment problem

As founders give stock away, their economic interest shrinks while their voting control stays the same.

“their personal economic interests in us will decrease while their voting control through the Founder LLC will remain unchanged”

Amazon and Google's hidden stakes

Amazon and Google will both hold nonvoting Class N stock after the offering but do not appear in the ownership table.

The public benefit fund

The Anthropic Public Benefit Fund, a wholly owned subsidiary created for the company's public benefit mission, holds eight hundred forty six point eight million shares.

What happens next

Anthropic will file an amended S-one with the price range, number of shares being sold and post-offering share count before it starts marketing the stock to investors.Goldman Sachs and Morgan Stanley are the lead underwriters.

The essence

Anthropic's seven co-founders each own stakes worth fourteen point two to fourteen point four billion dollars at current valuations, potentially doubling to twenty seven to twenty nine billion in an IPO, though they have pledged to give eighty percent away.
