Nscale files for New York listing
Nscale, a two-year-old Nvidia-backed neocloud company, filed for a New York IPO last week at a valuation of up to thirty five billion dollars, according to the Financial Times.
What Nscale does and who runs it
Nscale builds and finances AI-ready data centers and rents out computing power. Headquartered in London, it is run by founder and CEO Josh Payne and was spun out of Australian crypto miner Arkon Energy in twenty twenty four.
High-profile board members

Nscale's board includes former Meta COO Sheryl Sandberg, former UK deputy prime minister Nick Clegg, and former Yahoo president Susan Decker.
Massive losses in first half of 2026
Per the S-one filing, Nscale posted a net loss of one point zero two billion dollars in the six months to June thirty, twenty twenty six. Management flagged substantial doubt about the company's ability to continue as a going concern.
Valuation based on future contracts
Despite those losses, Nscale is asking Wall Street to value it at as much as thirty five billion dollars on the promise that one hundred three billion dollars in contracts, much of them not yet firm, will turn into revenue on schedule.
Nvidia's multiple roles at Nscale
Nvidia is Nscale's biggest supplier, one of its investors, and depending on how the IPO prices, soon to be one of its largest shareholders. The relationships are deeply intertwined.
Nvidia's one billion dollar investment
On September fifteenth, Nscale signed a subscription agreement for a three point one billion dollar financing round, of which Nvidia itself is taking one billion dollars in convertible notes or non-voting shares.
Nvidia's lease guarantee
Previous filings from Nscale's UK company accounts in October twenty twenty five showed Nvidia bought warrants for over one hundred fifty seven thousand nine hundred forty five Nscale shares for sixty million dollars and agreed to guarantee up to eight hundred sixty point three million dollars of Nscale's lease obligations at a facility in Ward County, Texas.
Nvidia CEO on supporting neoclouds
Nvidia CEO Jensen Huang said in April that without Nvidia's support, neoclouds like Nscale and CoreWeave would not exist. He stated Nvidia's role in enabling these companies to reach their current position.
“If we didn't support CoreWeave to exist, these neoclouds, these AI clouds, wouldn't exist… If we didn't support Nscale, they wouldn't be where they are today.”
Circular financing concerns
Nvidia is providing funding to customers who send money back to it through GPU purchases. In some cases, Nvidia also invests in AI companies buying data center capacity from neoclouds, meaning it is all Nvidia's money passing from one place to another.
CoreWeave's IPO as precedent
CoreWeave, a similar neocloud, posted an eight hundred sixty three million dollar net loss in twenty twenty four before its March twenty twenty five IPO. Two customers, Microsoft and a second buyer widely reported to be Nvidia, made up seventy seven percent of its revenue.
CoreWeave's rocky but strong debut
CoreWeave priced below its range and closed flat on day one of trading in March twenty twenty five. The stock went on a huge run, more than doubling within months.
Market conditions have shifted
Earlier this month, a warning from Anthropic's Dario Amodei about the pace of AI development, echoed by Sam Altman and Elon Musk, wiped close to six percent off the semiconductor index in a single session. Treasury yields spiked, making investors less patient with unprofitable growth stories.
Political and market headwinds
Community and political pushback against data centers has intensified globally, with some politicians proposing various bans on the rapid build-out Nscale is relying on. There is also a question of how many loss-making, billionaire-dollar companies the market will tolerate.
Nscale ahead of bigger AI IPOs
Nscale is getting ahead of companies like Anthropic and OpenAI in the IPO queue. Going first may mean Nscale helps test the waters for later listings by frontier AI companies expected from Anthropic later this year and OpenAI in early twenty twenty seven.
Nscale's IPO as market test
If Nscale prices well, it sets a valuation benchmark and tailwind for much bigger listings expected later. If Nscale stumbles, it is a cheaper way for Wall Street to find out where the AI infrastructure story breaks than waiting for a trillion-dollar name to test it first.
What matters most
Nscale filed for a New York IPO at a thirty five billion dollar valuation despite posting a one point zero two billion dollar net loss in six months, with Nvidia providing one billion dollars in financing and guaranteeing eight hundred sixty point three million dollars in lease obligations.
