SEBI Settlement Regulations 2026
SEBI's Settlement Regulations, 2026 revise how settlement amounts are calculated, separate disgorgement from settlement payments and introduce two fast-track routes for eligible cases.
New formula for settlement amounts
The settlement amount will be calculated using a base amount linked to the minimum penalty prescribed for the relevant violation under securities laws.
Adjustment factors for settlement
This base amount will be adjusted according to the stage of proceedings, regulatory action, the gravity of the violation, aggravating and mitigating circumstances, and legal costs.
Wrongful gains treated separately
SEBI clarifies that wrongful gains, losses avoided or losses caused to investors will not be included while determining the base settlement amount.
Three components of settlement terms
The new regulations specify three components: settlement amount, disgorgement, and remedial and regulatory terms.
Fast-track for cases up to ₹10 lakh
Cases involving settlement amounts of up to ₹10 lakh get a fast-track route moving directly from the internal committee to a panel of SEBI's whole-time members.
Violation-based fast-track route
SEBI also establishes a violation-based fast-track settlement mechanism for specified categories of violations.
Misrepresentation and fund diversion cases
The new regulations provide for settlement of cases involving misrepresentation of financial statements or diversion of funds with remedial and regulatory measures.
What the new rules mean
The new framework changes both the calculation of settlement amounts and the procedure for resolving eligible regulatory cases.
The key point
SEBI's 2026 settlement regulations simplify calculations, separate wrongful gains, and offer fast-track routes for cases up to ₹10 lakh.
